| Article I (Denomination and Duration) The association adopts the name of "Association of International Women in Portugal", and will last indefinitely from this date. |
Artigo Primeiro (Denominação e duração) A associação adopta a denominação “Associação de Mulheres Internacionais em Portugal”, e durará por tempo indeterminado a contar da presente data. |
| Article II (Location) The social headquarters are located in Rua do Poço no. 85, Cascais. The association may occupy or have facilities in any other locations for the pursuit of its purposes. |
Artigo Segundo (Sede) A sede social situa-se na Rua do Poço, n.º 85, em Cascais. A associação pode ocupar ou possuir instalações em quaisquer outras localidades para a prossecução dos seus fins. |
| Article III (Purpose) This is a multicultural non-profit association for women with English as its operating language, which aims to provide members the opportunity to express their ideas, use their talents and enrich their lives through their contribution to both the association and the local community. |
Artigo Terceiro (Objectivos) A presente associação multicultural, sem fins lucrativos, destinada a senhoras que tenham o inglês como língua comum, visa proporcionar aos seus membros a oportunidade de expressarem as suas ideias, utilizarem os seus talentos e enriquecerem as suas vidas através do seu contributo quer para o grupo quer para a população local. |
| Article IV (Membership) 1. Membership may be regular, associate or honorary. 2. Details of membership categories, conditions of admission, exit and exclusion, rights and obligations, will be part of the Internal Regulations. |
Artigo Quarto (Associadas) 1. As associadas podem ser efectivas, auxiliares e honorárias. 2. As definições das categorias de associadas, condições de admissão, saída e exclusão, direitos e obrigações, farão parte do regulamento interno. |
| Article V (Revenues and Assets) The revenues and assets of this association are the membership fees paid by its members, as per the Internal Regulations, the revenue in the savings account, and all income and assets acquired by it, either through donation or purchase. |
Artigo Quinto (Receitas e património) Constituem receitas e património da associação as jóias e quotas pagas pelas associadas, a fixar no regulamento interno, e todos os bens e rendimentos por ela adquiridos a título gratuito ou oneroso. |
| Article VI (Boards) 1. The regulating boards of this association are the General Meeting and the Executive Board. 2. The supervisory boards of the association are the Membership Representation Board and the Financial Review Board. 3. The Executive Board, the Financial Review Board and the Membership Representation Board shall be elected at the General Meeting for the period of two years, starting on 1st January and ending on 31st of December of the following year. |
Artigo Sexto (Órgãos) 1. São órgãos executivos da associação, a assembleia geral e a direcção. 2. São órgãos de supervisão da associação o conselho de representação das associadas e o conselho fiscal. 3. A direcção, o conselho fiscal e o conselho de representação das associadas serão eleitos pela assembleia geral e por períodos de dois anos, com início a 1 de Janeiro e termo a 31 de Dezembro do ano seguinte. |
| Article VII (General Meeting) 1. All regular members may participate in the General Meeting, as per article 173 of the Portuguese Civil Code. 2.Invitation to the General Meeting must be sent by mail at least 8 days prior to the date of the meeting. The invitation will indicate the date, time and place of the meeting, as well as its agenda 3. The powers and functioning of the General Meeting are set forth in Statutory Provisions, the law and in accordance with the Internal Regulations. 4. The Membership Representation Board will chair the General Meeting. 5. A quorum for a General Meeting shall be half of the regular members. 6. Modifications to the Constitution must be voted on at a General Meeting. Approval of amendments requires a majority vote ¾ of regular members present at the General Meeting. 7. Any deliberations concerning the dissolution of the association require invitation to the General Meeting sent at least 14 days prior to the meeting and require the favorable vote of ¾ of all the members. |
Artigo Sétimo (Assembleia geral) 1. A assembleia geral é composta por todas as associadas efectivas reunidas, nos termos do artigo cento e setenta e três do Código Civil. 2. A Assembleia Geral deverá ser convocada por meio de aviso postal, expedido para cada uma das associadas com a antecedência mínima de oito dias; no anúncio indicar-se-á o dia, hora e local da reunião e a respectiva ordem do dia. 3. As competências e o funcionamento da Assembleia Geral são reguladas pelos presentes estatutos, pela lei e pelo regulamento interno. 4. O conselho de representação das associadas assume a mesa da assembleia geral. 5. A assembleia não pode deliberar, em primeira convocação, sem a presença de, pelo menos, metade das associadas. 6. As deliberações sobre alterações dos estatutos exigem o voto favorável de três quartos das associadas presentes ou devidamente representadas. 7. As deliberações sobre a dissolução da associação requerem o envio da convocatória para a assembleia geral com uma antecedência mínima de catorze dias e a aprovação por voto favorável de três quartos do número de todas as associadas. |
| Article VIII (Executive Board) The administration of the association is the responsibility of the Executive Board, composed of five members elected by the General Meeting. 2. It is the responsibility of the Executive Board: a) Manage the Association. b) Create, organize and direct the services of the Association. c) Comply with and enforce the legal and statutory provisions and deliberations of the General Meeting. d) Prepare and submit to the General Meeting the proposals for amendment of the rules of the internal regulations and Constitution of the association. e) Manage membership. f) Exercise disciplinary power over members by applying sanctions under the internal regulations. g) Propose to the General Meeting the creation of other categories of members. h) Propose to the General Meeting the fixation or amendment of the annual membership fee and any other financial contributions by the members. i) Purchase real estate and borrow. j) Open, cancel and move bank accounts. k) Perform all other functions assigned to it by the internal regulations of the association and to carry out all other acts necessary to pursue the purposes of the association. 3. The Executive Board consists of a President, a Vice President, a Treasurer, a Secretary and a Designate Member, all elected by the General Meeting. 4. The association shall be bound in all its actions by the signature of two Executive Board Members. 5. Mere operational acts shall be signed by the President or any other member of the Executive Board. 6. The Executive Board shall operate in accordance with the Internal Regulations, the Constitution of the association and the law. |
Artigo Oitavo (Direcção) 1. A administração da associação compete a uma direcção, composta por cinco membros eleitos pela assembleia geral. 2. Compete à direcção: a) Gerir a associação. b) Criar, organizar e dirigir os serviços da associação. c) Cumprir e fazer cumprir as disposições legais e estatutárias e as deliberações da assembleia geral. d) Elaborar e apresentar à assembleia geral as propostas de alteração ao regulamento interno e aos estatutos da associação. e) Admitir e excluir associadas. f) Exercer o poder disciplinar sobre as associadas, aplicando sanções nos termos destes estatutos, do regulamento interno e da lei. g) Propor à assembleia a criação de outras categorias de associadas. h) Propor à assembleia geral a fixação ou alteração da jóia anual e das quotizações das associadas. i) Adquirir bens imóveis e contrair empréstimos. j) Abrir, cancelar e movimentar contas bancárias. k) Exercer todas as demais funções que lhe sejam atribuídas pelos presentes estatutos e regulamentos da associação e praticar todos os demais actos necessários à prossecução dos fins da associação. 3. São membros da direcção, uma presidente, uma vice-presidente, uma tesoureira, uma secretária e uma vogal, todas eleitas pela assembleia geral. 4. A associação fica vinculada em todos os seus actos pela assinatura de dois membros da direcção. 5. Os actos de mero expediente serão assinados pela presidente ou por qualquer outro membro da direcção. 6. A direcção funcionará nos termos do disposto nestes estatutos, da lei e do respectivo regulamento interno. |

Artigo Nono (Conselho fiscal) O conselho fiscal é composto por três membros, sendo uma presidente e dois vogais, com competência decorrente da lei assim como a que lhe for atribuída por regulamento interno. |

| Article XI (Final Deliberation) All matters not directly addressed in the Constitution are regulated by the local law as well as the Internal Regulations, whose approval and alterations are the responsibility of the General Meeting. |
Artigo Décimo Primeiro (Disposição final) No que estes estatutos forem omissos regem as disposições legais aplicáveis, assim como o regulamento interno, cuja aprovação e alterações são da competência da assembleia geral. |
